These terms govern your use of our AI-powered invoice processing platform and related services. Please read them carefully.
Important Legal Agreement
By using InvoiceBI, you are entering into a legally binding agreement. These terms include important limitations on our liability and your rights. Please read them carefully.
If you do not agree to these terms, please do not use our Service.
Agreement to Terms
By accessing or using InvoiceBI's platform, services, or any related applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Capacity to Contract
You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other legal entity, you must have the authority to accept these Terms on behalf of that entity.
Changes to Terms
We may modify these Terms at any time by posting the updated Terms on our website. We will notify you of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
Additional Agreements
These Terms incorporate by reference our Privacy Policy, Service Level Agreement (SLA), and any other policies or agreements referenced herein. In case of conflict between these Terms and other agreements, these Terms shall prevail unless explicitly stated otherwise.
InvoiceBI Platform
InvoiceBI provides an AI-powered invoice processing and business intelligence platform that automatically extracts, analyzes, and processes invoice data to identify discrepancies, detect fraud, optimize payments, and provide business insights. The Service includes web applications, mobile applications, APIs, integrations, and related support services.
AI and Machine Learning Features
Our Service utilizes artificial intelligence, machine learning algorithms, optical character recognition (OCR), and natural language processing to analyze invoice data. While we strive for high accuracy, AI-generated results are recommendations and should be reviewed and verified by qualified personnel before making business decisions.
Service Availability
We aim to provide 99.9% uptime for our Service, subject to scheduled maintenance and unforeseen circumstances. Service availability may vary based on your subscription plan and is detailed in our Service Level Agreement. We do not guarantee uninterrupted access and are not liable for service interruptions.
Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will provide reasonable advance notice of material changes that affect core functionality and will work to minimize disruption to your business operations.
Account Registration
To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Security
You must use strong passwords, enable multi-factor authentication when available, and promptly notify us of any suspected unauthorized access to your account. We recommend regular password updates and limiting account access to authorized personnel only.
User Roles and Permissions
Account administrators can create user roles with different permission levels within your organization. You are responsible for managing user access, regularly reviewing permissions, and promptly removing access for former employees or contractors.
Account Suspension
We may suspend or terminate your account for violations of these Terms, suspected fraudulent activity, non-payment, or as required by law. We will provide reasonable notice when possible and assist with data export before account termination.
Permitted Uses
You may use the Service only for legitimate business purposes related to invoice processing, financial analysis, and business intelligence. You must comply with all applicable laws, regulations, and industry standards when using the Service.
Prohibited Activities
You may not: (a) use the Service for illegal activities or to violate any laws; (b) attempt to reverse engineer, decompile, or discover the source code of the Service; (c) use the Service to transmit malware, viruses, or harmful code; (d) interfere with or disrupt the integrity or performance of the Service; (e) attempt to gain unauthorized access to other users' accounts or data.
Content Standards
You are responsible for ensuring that all invoice data and content uploaded to the Service is accurate, lawful, and does not infringe on third-party rights. You must not upload content that contains sensitive personal information beyond what is necessary for invoice processing.
Compliance Requirements
You must comply with all applicable financial regulations, data protection laws (including GDPR and CCPA), anti-money laundering requirements, and industry-specific compliance standards when using the Service.
Your Data Ownership
You retain all ownership rights to your invoice data, business information, and other content uploaded to the Service ("Customer Data"). We do not claim ownership of Customer Data and use it solely to provide the Service as described in our Privacy Policy.
License to Process Data
You grant us a limited, non-exclusive license to access, process, and analyze your Customer Data solely for the purpose of providing the Service, including AI analysis, reporting, and business intelligence features. This license terminates when you delete data or terminate your account.
Data Accuracy and Responsibility
You are responsible for the accuracy, completeness, and legality of all Customer Data. You represent and warrant that you have the right to upload and process all Customer Data through the Service and that such processing complies with applicable laws.
Data Security and Confidentiality
We implement industry-standard security measures to protect Customer Data, including encryption, access controls, and monitoring. However, you acknowledge that no system is completely secure and you use the Service at your own risk.
Data Export and Portability
You can export your Customer Data at any time through the Service interface or by requesting assistance from our support team. We provide data export in standard formats to facilitate migration to other systems if needed.
Subscription Fees
Access to the Service requires payment of subscription fees according to your selected plan. Fees are billed in advance on a monthly or annual basis as specified in your subscription. All fees are non-refundable except as explicitly stated in these Terms.
Payment Methods
We accept major credit cards, ACH transfers, and wire transfers for payment. You authorize us to charge your selected payment method for all applicable fees. You must maintain valid payment information and notify us of any changes.
Late Payments and Suspension
If payment is not received within 30 days of the due date, we may suspend your access to the Service. Accounts suspended for non-payment may be terminated after 60 days, and all data may be deleted. You remain responsible for all unpaid fees.
Price Changes
We may change subscription prices at any time with 30 days' advance notice. Price changes will take effect at your next billing cycle. If you disagree with price changes, you may cancel your subscription before the new prices take effect.
Taxes and Additional Fees
You are responsible for all applicable taxes, duties, and government fees related to your use of the Service. Fees do not include any taxes, and you agree to pay all applicable taxes in addition to the subscription fees.
InvoiceBI Intellectual Property
The Service, including all software, algorithms, designs, text, graphics, user interfaces, and other content, is owned by InvoiceBI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our intellectual property.
AI Models and Algorithms
Our artificial intelligence models, machine learning algorithms, and processing methodologies are proprietary to InvoiceBI. You may not attempt to reverse engineer, extract, or replicate these systems for use outside of the Service.
Customer Feedback and Suggestions
Any feedback, suggestions, or ideas you provide about the Service become the property of InvoiceBI and may be used to improve the Service without compensation or attribution to you.
Third-Party Intellectual Property
You must respect the intellectual property rights of third parties when using the Service. You may not upload content that infringes on patents, trademarks, copyrights, trade secrets, or other proprietary rights.
Service Warranty
We warrant that the Service will perform substantially in accordance with our published documentation under normal use conditions. This warranty is subject to the limitations and exclusions set forth in these Terms.
AI Accuracy Disclaimer
While our AI systems strive for high accuracy, we do not warrant that AI-generated results will be 100% accurate or error-free. You must review and verify all AI-generated recommendations before making business decisions based on them.
Disclaimer of Other Warranties
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Third-Party Integrations
The Service may integrate with third-party systems and services. We do not warrant the performance, availability, or security of third-party services and are not responsible for any issues arising from third-party integrations.
Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
Exclusion of Consequential Damages
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Business Decision Responsibility
You acknowledge that the Service provides recommendations and insights to assist decision-making but does not make business decisions for you. You are solely responsible for all business decisions made based on information from the Service.
Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
Customer Indemnification
You agree to indemnify, defend, and hold harmless InvoiceBI and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; or (d) your violation of any law or third-party rights.
InvoiceBI Indemnification
We will indemnify you against claims that the Service infringes a third party's U.S. patent, copyright, or trademark, provided you promptly notify us of the claim and allow us to control the defense. Our obligations are subject to the limitations set forth in these Terms.
Indemnification Procedures
The indemnifying party must be promptly notified of any claim and given control of the defense and settlement. The indemnified party may participate in the defense at its own expense and may not settle any claim without the indemnifying party's consent.
Termination by You
You may terminate your account at any time by providing written notice or using the account termination feature in the Service. Upon termination, your access to the Service will cease, but you will remain responsible for any unpaid fees.
Termination by InvoiceBI
We may terminate your account immediately for material breach of these Terms, non-payment after the cure period, or as required by law. We may also terminate with 30 days' notice for convenience or business reasons.
Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will provide you with access to export your Customer Data for 30 days after termination, after which all data may be permanently deleted from our systems.
Survival
Sections relating to payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification shall survive termination of these Terms.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in Delaware.
Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and InvoiceBI regarding the Service and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The unenforceable provision will be replaced with an enforceable provision that most closely reflects the original intent.
Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets with notice to you.
Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative.
Notice
All notices under these Terms must be in writing and delivered to the addresses specified in your account or our contact information. Notices to you may be delivered via email, in-app notifications, or postal mail.
